1. Who we are

1.1 GOLDJAXE L.L.C-FZ ("GOLDJAXE", "we", "us", "our") is a limited liability company incorporated in Meydan Free Zone, Dubai, United Arab Emirates (Certificate of Formation No. 2654905; business licence No. 2654905.01), registered office: Meydan Grandstand, 6th floor, Meydan Road, Nad Al Sheba, Dubai, United Arab Emirates. We are a software, artificial intelligence and IT services company. We build and run GOLDJAXE OS, our AI operating system for business, and GOLDJAXE Terminal, its workplace in the browser; GOLDJAXE products and services built on GOLDJAXE OS; GOLDJAXE Academy, access by level to the GOLDJAXE OS platform; and GOLDJAXE Syndicate, the closed community portal of GOLDJAXE OS operators. GOLDJAXE is our brand. These Terms of Service ("Terms") are our terms for the Sites and the Services.

1.2 The United Arab Emirates is our country of domicile. We operate from our registered office in Meydan Free Zone and provide our services from the United Arab Emirates.

1.3 Contact details: contact@goldjaxe.com · goldjaxe.com. The same mailbox receives refund requests, complaints and notices under these Terms.

1.4 Where these Terms apply. These Terms apply to the use of our websites goldjaxe.com, goldjaxe.org, goldjaxe.ai, link.goldjaxe.com, academy.goldjaxe.ai and syndicate.goldjaxe.ai in every language version, including the pages of Quotes, briefs and calculators opened by an access code, and of any other website of ours that links to these Terms (together, the "Sites"), and to every engagement between you and us.

1.5 Separate agreements. Where we have signed a separate written agreement with you, such as a framework services agreement or an Order Form under our Terms of Service for Business, that agreement prevails over these Terms for the services it covers. GOLDJAXE Terminal is provided under the Terms of Service for Business.

1.6 Our Refund and Cancellation Policy and our How to Pay page form part of these Terms. Our Privacy Policy and Cookie Notice explain how we handle personal data; they are notices and do not form part of these Terms.

2. Who may use our Sites and Services

2.1 Our Services are for persons who are at least 18 years of age and have the legal capacity to enter into a contract, and for companies and other legal entities acting through an authorised representative.

2.2 We do not knowingly provide services to, or collect personal data of, persons under 18.

2.3 Sanctions and restrictions. We provide services only where we are lawfully permitted to do so. We do not accept clients or payments, and we may refuse or restrict any Service for any country, person or payment, where this would breach the sanctions rules that apply to us, our own compliance policy or the rules of our bank or payment service provider. When you pay, you confirm that you are not located in, and are not paying for a person located in, a country or territory for which our bank or payment service provider does not allow the Services; if this is not so, we may end the engagement at once and return the payment, unless the law requires us to hold it.

2.4 Our right to decline. We may refuse a request, decline to issue a Quote or refuse to accept instructions at any time, without giving any reasons. We may also discontinue a Service or end an engagement by written notice where: (a) you fail to comply with these Terms or to pay any amount when due; (b) any information or document you give us is false, incomplete or misleading; (c) you, a payer or a beneficial owner is associated with money laundering, terrorist financing, sanctioned or embargoed jurisdictions or any watch list; (d) you are suspected of involvement in criminal or other illegal activity in any jurisdiction; (e) you are insolvent or the subject of an investigation by any authority; (f) our bank or payment service provider requires it; or (g) continuing would harm our business or reputation. We are not required to tell you which ground applies. Fees for Services already provided remain payable. Where we end an engagement because of your breach, amounts paid are not refundable; where we end it for any other reason, we return the amount paid for the part of the Service not yet provided, under the Refund and Cancellation Policy.

3. What we do, and what we do not do

3.1 What we do. Within the activities of our business licence — software publishing and development, computer consultancy and systems integration, management of client IT systems, cloud and data centre services, data processing, cyber security, digital content and web portals, management consultancy and artificial intelligence consultancy — we provide the following (the "Services"):

  • (a) GOLDJAXE OS and GOLDJAXE Terminal — licences, seats, AI model usage measured in credits, and deployment options; credits are used only for our own Services, have no cash value and cannot be transferred or exchanged for money;
  • (b) GOLDJAXE products — software built on GOLDJAXE OS for the work of particular industries and business functions;
  • (c) AI services and software products published on the Sites, including on goldjaxe.ai; where such a Service publishes content, sends messages or otherwise acts in your accounts, it does so in your name, on your instructions and with the settings you choose;
  • (d) services — GOLDJAXE Method Implementation; IT support for businesses under annual maintenance plans (IT AMC Dubai); Your Perimeter Support — support of GOLDJAXE OS in your own perimeter, including the design, deployment and operation of private cloud and IT infrastructure; and cyber security for the IT systems of businesses;
  • (e) AI, IT and management advisory — strategy sessions, diagnostics and IT reviews;
  • (f) GOLDJAXE Academy — access by level, L0 to L3, to the GOLDJAXE OS platform: the library of GOLDJAXE OS protocols, working tools such as AI roles and templates, and the GOLDJAXE Syndicate portal; the MASTER KEY access code; GOLDJAXE OS Operator Access; and, at level L3, advisory sessions with GOLDJAXE architects (clause 15);
  • (g) GOLDJAXE Syndicate — access to the closed community portal of GOLDJAXE OS operators: materials, walkthroughs and online live sessions in the portal (clause 16);
  • (h) free services — such as diagnostics, trial access and trial advisory sessions.

A Service bought under an earlier name is provided as the corresponding Service in this clause 3.1. Every Service is provided within the activities of our business licence; where a description on a Site or in a Quote could be read more widely, it is limited to those activities. The specific Service, its scope, term and price are set in the Quote, the invoice or on the page where it is bought.

3.2 What our Services are not. We are not a bank or a payment institution, and we do not hold client money as a service. We are not a financial or investment adviser, and we do not recommend any investment. We are not a law firm or a tax agent, and we do not give legal or tax advice. We are not an educational or training institution: GOLDJAXE Academy is access to a software platform and its content, not education or training, and we do not issue education, training or professional qualification certificates. We do not act as a broker, marketplace or employment agency between our users.

3.3 Results are yours. Our Services are tools, work and advice for your business. How you use them, and the business results — revenue, savings, sales, rankings or any other outcome — are your decisions; we do not guarantee any particular result.

3.4 Decisions of third parties. Providers of software, cloud, networks, AI models and platforms, app stores, banks and payment providers decide on their own services, accounts and approvals. We do not control those decisions or their timing and do not guarantee them. We are responsible for the work we perform. Where, at your request, we pass your request to a provider or partner, its work is contracted and paid between you and it, and we are not responsible for it.

4. Quotes

4.1 A quote ("Quote") is our personal proposal to the client named in it, opened on a Site by an access code or sent by e-mail. It sets out the Services, the price, the currency, the payment methods and the date until which it is valid ("Valid until").

4.2 A Quote is addressed to the named client only and cannot be transferred. The Sites, and the prices, plans and descriptions published on them, are not offers: they are an invitation to send a request or to request a Quote. A request sent through a form on a Site does not create a contract.

4.3 If a Quote shows no Valid until date, it is valid for 14 calendar days from the date of issue.

4.4 The Valid until date is the latest date for acceptance. It is not a promise to keep the Quote open until that date — see clause 5.

4.5 Where the Services are performed in stages, the Quote sets out the stages, the price of each stage and the payment schedule. Each stage is paid in advance, and we begin a stage once it has been paid. The prices of the stages hold while the schedule is kept: if a stage is not paid within 30 days of its date in the schedule, we may re-quote the remaining stages or end the unperformed part of the engagement.

5. Withdrawal and replacement of a Quote

5.1 We may withdraw or replace a Quote at any time before it has been accepted under clause 6 — for example if it contains an error, has been replaced by a new Quote, is withdrawn at your request, or if we are unable to proceed.

5.2 Withdrawal takes effect when the Quote page shows that the Quote has been withdrawn, or when we send you notice by e-mail, whichever is earlier. A withdrawn Quote can no longer be paid. If we replace a Quote, the new Quote applies instead of the previous one.

5.3 A Quote that has been accepted cannot be withdrawn. After acceptance, the contract may only be ended in accordance with these Terms and the Refund and Cancellation Policy, or as applicable law allows.

6. How a contract is formed

6.1 Quotes and invoices. You accept a Quote, or an invoice issued to you, by paying the full amount stated in it — or, where clause 6.5 provides, the first payment of its schedule — in the stated currency, using a payment method shown in it, by 23:59 United Arab Emirates time (UTC+4) on the Valid until date and before the withdrawal of the Quote takes effect. The contract is formed when that payment is received in full in our bank account or confirmed to us by our payment service provider; a shortfall caused only by bank charges is dealt with under clause 10.4.

6.2 Purchases on a Site. Where a Service, including an Academy level or a subscription, is bought at the price shown on a Site, you accept these Terms on that page before you pay, and the contract is formed when our payment service provider confirms your payment to us.

6.3 Signed agreements. Where we sign an agreement or an Order Form with you, the contract is formed when both parties have signed it, and payment follows its terms.

6.4 A payment is made on time if it is made while the Quote is valid and before its withdrawal takes effect, even if it reaches us later. A card payment is made when our payment service provider confirms it. A bank transfer is made when your bank sends it, as shown by your bank's confirmation, provided that the funds reach our account within 5 business days. Please keep proof of the date and time of the transfer.

6.5 A partial payment does not accept a Quote, unless the Quote provides for payment by stages or in instalments: then the first payment of its schedule, made in full, accepts the Quote. We hold any other partial payment until the Valid until date; if the balance is not paid by then, we return the amount received under our Refund and Cancellation Policy.

6.6 Silence, opening a Quote or sending a request through a form is not acceptance.

6.7 Quotes, acceptances, invoices, notices and confirmations exchanged by e-mail, through a Site or through our systems are valid and binding electronic records and satisfy any requirement of writing between you and us. Ticking a box or clicking a button to accept these Terms is your written acceptance of them, including of the law and courts in clause 23.

7. The Sites, the chat and free services

7.1 The Sites, their content, the chat assistant and our free services are provided as they are and as available, for information. We may change, suspend or withdraw any of them, or any part of them, at any time without notice.

7.2 The chat assistant on the Sites answers automatically: its replies are prepared by artificial intelligence models of third-party providers, may be inaccurate or incomplete, and are not advice, a Quote or a promise by us. Do not send personal data of other people, passwords or confidential information through the chat.

7.3 Access codes. Codes that open Quotes, briefs, calculators or restricted pages, including MASTER KEY, are personal. Do not share them. We may change, limit or revoke a code at any time. A code gives access to a page; it does not create a contract.

7.4 You do not interfere with the Sites or our systems, bypass access controls, extract paid or restricted content by automated means, introduce malicious code, or use the Sites to break the law or the rights of others.

7.5 To the fullest extent permitted by law, we have no liability for the Sites, their content, the chat assistant and our free services.

8. Payments that do not match a valid Quote

8.1 Payment after withdrawal. A payment made after the withdrawal of a Quote has taken effect does not form a contract, and we will not start work. We refund it under our Refund and Cancellation Policy, unless, within 5 business days, you ask us in writing to credit it towards a new Quote and we agree.

8.2 Payment made before withdrawal took effect. If your payment was made on time under clause 6.4 before the withdrawal took effect, the Quote is accepted. We will contact you, and you may choose by e-mail either (a) that we perform the Quote on its terms, or (b) cancellation with a full refund. Option (a) is not available if the Quote was withdrawn because of an obvious error (clause 9 then applies) or because we are unable to proceed.

8.3 Payment after expiry. A payment made after the Quote's validity has ended does not form a contract. We refund it under our Refund and Cancellation Policy, unless, within 5 business days, you ask us in writing to credit it towards a new Quote and we agree.

8.4 Repeat and excess payments. If you pay the same Quote more than once, or pay more than the amount due, we refund the excess under our Refund and Cancellation Policy, unless, within 5 business days, you ask us in writing to credit it towards another Quote and we agree.

8.5 Wrong currency. A transfer must be made in the currency stated in the Quote or the invoice. If we receive a transfer in another currency, we may ask you to pay any shortfall or refund the amount received. A card payment converted by our payment service provider under clause 10.1 is not a payment in the wrong currency.

8.6 Payments by third parties. A Quote or an invoice is paid by the client named in it, or by a third party whom we have approved in writing in advance. We may refuse any other payment; a refused payment goes back only to the person or account it came from. A purchase on a page may be paid with any payment card the buyer is entitled to use, and access goes to the account in which it was bought.

9. Obvious errors

9.1 If a Quote contains an obvious error in the price or in the description of the Services, we withdraw it before acceptance where possible and issue a corrected Quote. If it has already been accepted, we may perform it at the price paid; otherwise, within 1 business day and before starting work, we contact you and offer you the choice to continue at the correct price (paying or receiving back the difference) or to cancel with a full refund. We do not change the price without your agreement.

10. Prices, payment methods, currency and taxes

10.1 Currency. Prices are in the currency shown in the Quote, the invoice or on the page — US dollars (USD) or UAE dirhams (AED). Where no currency is shown, the price is in US dollars. Payment is made in that currency. Where the payment page of our payment service provider offers you the price in your own currency and you choose it, the provider converts it at the rate shown to you: the payment counts as made in the currency of the Quote or the page, and a refund of it is returned in the currency you paid.

10.2 How you can pay. By bank transfer to our account with a bank in the United Arab Emirates against our invoice, by international transfer from abroad, by payment card through our payment service provider where the Quote or the page offers that method, or by another method stated in the Quote. We do not accept cash. The details are on our How to Pay page.

10.3 No surcharge. We do not add any fee for paying by card. Charges of your own bank or card issuer, including for currency conversion, are yours.

10.4 Bank charges. For transfers, the charges of your bank and of any intermediary bank are yours, and the amount credited to our account must equal the invoiced amount. A transfer that falls short only because of such charges still accepts the Quote or the invoice; the shortfall is a debt, which you pay before we start or continue work, or which we add to your next invoice.

10.5 Taxes. Unless the Quote or the page expressly states otherwise, all prices, fees and charges are exclusive of value added tax and any other tax, which we are entitled to add at the applicable rate. Any tax, duty or charge imposed in your own country is yours. If the law of your country requires you to withhold a tax from a payment to us, you increase the payment so that we receive the full amount we would have received without the withholding.

10.6 Third-party costs. Cloud resources, AI model usage, travel and similar third-party costs of a Service are paid as stated in the Quote and are not included in the price of a Service unless the Quote says so. Where, under the Quote, we commit to a supplier for such costs for a period, you pay that cost for the whole period, even if the engagement ends earlier. You buy equipment, and software licences issued in your name, from the supplier in your own name and at the supplier's price; we may advise on the choice and set them up.

10.7 Invoices, receipts and due dates. We issue an invoice for every payment, and a receipt on request, to the client named in the Quote. An invoice is payable by the date stated in it or, where none is stated, within 5 business days of its date; an instalment is payable before the start of the period it covers.

10.8 Set-off. Should you fail to settle any invoice by its due date, you authorise us to set off the outstanding amount against any money of yours held by us and any amount we owe you, including amounts paid under another Quote, refunds due to you and rewards due to you under our partner programme. You may not set off any amount you claim from us against our invoices, or withhold payment of them.

10.9 Suspension and withholding. While any amount remains outstanding, we may, by notice to you by e-mail with immediate effect, suspend all Services to you under every Quote, and we may withhold our deliverables, reports, materials, licences and the handover of our work until all outstanding amounts have been paid. Timelines are extended by the period of suspension, and subscription fees continue to accrue. This does not extend to your access to your own systems, accounts and data.

10.10 Recovery. We may take any lawful action to recover amounts owed. You authorise us to disclose information relevant to the debt to external debt recovery agencies within or outside the United Arab Emirates, and to escalate a defaulted payment to the competent authorities. You reimburse our costs of recovery — the fees of courts, lawyers, collection agencies and banks — in addition to the amount owed.

10.11 Unclaimed funds. Any amount held by us that is due to you must be claimed within twelve (12) months from the date it becomes available to you. An amount not claimed within that period is forfeited.

10.12 No interest. We do not pay interest on any money held by us.

10.13 Price changes. We may change our prices at any time. A new price applies to new Quotes and new purchases, and to a subscription from its renewal under clause 12.1; the prices of an accepted Quote change only under clause 4.5. Where a subscription includes third-party costs, such as licences, AI model usage or hosting, and those costs increase, we may change that part of the price from a billing period that starts at least 14 days after our notice to you. If you do not accept the change, you may end that part of the Service by notice given before the change applies, and clause 12.4 does not apply to that part.

10.14 Discounts and personal codes. A discount applies only as stated in your Quote or through a personal code issued to you, and only to the purchase for which it is given. Only one discount applies to a purchase — the larger one. A discount has no cash value and cannot be exchanged, transferred or refunded; any refund is limited to the amount actually paid.

11. Cancellation and refunds

11.1 Cancellation, refunds, defective work and chargebacks are governed by our Refund and Cancellation Policy, which forms part of these Terms.

11.2 In short, and without limiting that Policy: we are not required to refund any amount paid unless the Service for which it was paid was not provided due to our fault; amounts paid for Services already provided or in progress, including a stage that has been started, are not refundable; and where we end an engagement because of your breach, amounts paid are not refundable.

11.3 A refund, where due, is made by the same method and to the same payer as the original payment.

12. Subscriptions and renewal

12.1 Where a Service is provided for a term or on a recurring basis — including IT support under IT AMC plans, retainers, and Academy levels or other Services sold as a subscription — the term, the billing period and the price are set in the Quote or on the page. A term starts on the date stated in the Quote or, if none, on the day the contract is formed. The term renews automatically for the same period, unless it is cancelled in accordance with this clause. The renewed term is at the price of the ending term, or at our new price if we have told you of it by e-mail at least 30 days before the last day for notice under clause 12.2 or, for a monthly subscription, at least 14 days before the renewal.

12.2 Terms longer than one month, including IT AMC plans. Monthly payments, where the Quote provides for them, are instalments of the price for the whole term. To stop a renewal, you give us written notice no later than sixty (60) days before the end of a term of twelve months or longer, or thirty (30) days before the end of a shorter term, unless the Quote states another period. Failing such notice, the renewal is accepted and the renewed term is payable in full.

12.3 Monthly subscriptions. A subscription with a monthly term may be cancelled at any time before the next billing date. The cancellation takes effect at the end of the period already paid, and no further payments are taken.

12.4 Early termination. If you end a term before its end, or if we end it because of your breach, the remaining payments for the term become due immediately. Paid periods, including a renewed period, are not refundable.

12.5 Handover. Our handover documentation at the end of a term is delivered after all amounts due have been paid. This does not affect your access to your own systems, accounts and data.

12.6 How to cancel. Write to contact@goldjaxe.com from the address you use with us, or use the cancellation function in your account where it is available.

12.7 Allowances and credits. Hours, visits, sessions, credits and other allowances included in a Service are used within the period stated in the Quote or on the page or, where none is stated, within twelve (12) months of purchase. Allowances not used within that period lapse and are not refunded, exchanged for money or carried over, unless the Quote says otherwise or we failed to make them available.

13. Your responsibilities

13.1 You give us information, documents, materials, access and decisions that are true, complete, current and lawful, on time, and you tell us promptly if anything changes. A delay on your side extends our timelines accordingly and is not a breach by us.

13.2 You are responsible for the systems, accounts, software licences and backups of your business; for the lawfulness of the data, content and instructions you give us or enter into AI models through our Services, including holding the rights and consents they require; and for the decisions you take on the basis of our work and of AI outputs.

13.3 You do not ask us to do anything unlawful, and you do not use our Services or the Sites to break the law or the rights of others.

13.4 Where you act for a company, you confirm that you are authorised to engage us on its behalf and to accept these Terms on its behalf, including the choice of law and courts in clause 23.

13.5 You keep your accounts, passwords and access codes secure and are responsible for everything done with them.

14. Delivery, acceptance and timelines

14.1 We perform the Services with the care and skill reasonably expected of a professional provider of such services.

14.2 Timelines we give are our own working estimates for our part of the work. The times of third parties — providers of cloud, software and AI models, platforms and banks — are outside our control and are not a term of our contract.

14.3 Acceptance. When we complete a Service or a stage, we notify you or send you a completion document. Unless you send us a reasoned written objection listing specific defects within 5 business days, the Service or stage is accepted.

14.4 Warranty and defects. We warrant for 30 days from the date a Service or stage is provided, or for any longer period that the law requires for the Service concerned, that it matches what we confirmed in writing. If, within that period, you tell us in writing of a defect, we correct or re-perform the work at our own cost within an agreed period. If the defect cannot be corrected, or we fail to correct it within that period, you are entitled to a refund for the defective part of the Service under the Refund and Cancellation Policy. The warranty does not cover a defect caused by changes made by you or by others, by your systems, data, materials or instructions, by third-party software, cloud or AI models, or by use other than as agreed. To the extent permitted by law, this clause sets out your only remedies for defective work; where the law gives a consumer the choice of remedy, that choice is not affected.

14.5 Contractors. We may engage contractors, including operators of GOLDJAXE OS, to perform any part of the Services, and we remain responsible to you for their work within these Terms. Providers of cloud, networks, software, AI models and platforms whose services we use or procure for you are not our contractors under this clause; clause 19.4 applies to them.

14.6 No other warranties. Except as expressly stated in these Terms or in the Quote, and to the extent permitted by law, we give no other warranty or representation, express or implied, including as to fitness for a particular purpose, uninterrupted or error-free operation, or any business result, revenue or saving.

14.7 Risks you should know. Work on IT systems — installation, migration, updates, integration, testing and security testing — can interrupt systems, change how they behave or cause loss of data, and outputs of AI models can be inaccurate. Before such work, keep current backups, tell us which systems must not be interrupted and agree the timing with us; check AI outputs before you rely on them. If harm occurs, tell us at once, so that it can be limited and corrected.

15. GOLDJAXE Academy

15.1 What it is. GOLDJAXE Academy (academy.goldjaxe.ai) is access by level, L0 to L3, to the GOLDJAXE OS platform: the library of GOLDJAXE OS protocols — step-by-step launch runbooks — working tools, such as AI roles, templates and schemas, and the GOLDJAXE Syndicate portal. Level L3 adds advisory sessions with GOLDJAXE architects on your business. Level L0 is free.

15.2 Account. An account belongs to one person. You give true details and keep your sign-in secure. An account may not be shared, transferred or used by several people.

15.3 Access. Access to a paid level opens once your payment is confirmed and lasts for the period stated on the level page or in the Quote. The content of a level — protocols, tools, live sessions in the portal and, at level L3, advisory sessions — is updated, replaced or withdrawn to develop GOLDJAXE OS, or for reasons beyond our control: the page describes the scope of access, not a fixed list of items. We notify you before a significant change applies.

15.4 Licence. While your access lasts, we grant you a personal, non-exclusive and non-transferable licence, valid worldwide, to use the protocols and tools of your level for your own business. You do not copy, record, publish, resell or share them, give your access or your MASTER KEY to anyone, or use them to build a competing product or service. If you share your access or distribute paid materials, you pay us, as agreed compensation, the price of the level concerned for each person who received them, and we may close your access without refund. This does not limit our other rights, including to claim any greater loss we prove.

15.5 GOLDJAXE OS Operator Access. Operator Access L1, L2 or L3 is a status of your account in GOLDJAXE products, granted after a practical check of a working result in GOLDJAXE OS to the GOLDJAXE Standard, our own quality standard. It gives the rights in GOLDJAXE products that we attach to it, may be suspended or withdrawn by us — including for a breach of these Terms or where the result no longer meets the GOLDJAXE Standard — and can be checked by its number on our Sites. It is not an education, training or professional qualification document, it is not a licence or permit of any authority, and it creates no employment, agency or partnership.

15.6 Advisory at L3. Sessions are scheduled with you within the period of the level. Our recommendations are advisory; the decisions are yours.

15.7 Reviews and discussions in GOLDJAXE Academy are subject to the GOLDJAXE Syndicate Community Rules in clause 16.

16. GOLDJAXE Syndicate Community Rules

16.1 What it is. GOLDJAXE Syndicate (syndicate.goldjaxe.ai) is the closed community portal of GOLDJAXE OS operators: walkthroughs of working systems, cases and online live sessions in the portal, by access level. The zones available to you depend on your level and your Operator Access.

16.2 Account. One account per person, with true details.

16.3 Your posts. You are responsible for what you post. You do not post anything unlawful, infringing, defamatory or abusive, personal data or confidential information of others, malicious code or spam.

16.4 Portal materials. The walkthroughs, live sessions and materials of the portal are for members. You do not record, copy or share them outside the portal.

16.5 Offers and sales. Members do not offer, advertise or sell goods or services in the Syndicate — in topics, replies, private messages, profiles, signatures or through links to outside pages — and do not look for contractors or orders here, unless GOLDJAXE agrees in writing. GOLDJAXE takes client orders for operator work under its own Quote ("GOLDJAXE Work Orders"), and the operator performs them under an agreement with GOLDJAXE. We decide whether to give a GOLDJAXE Work Order to an operator; neither Operator Access nor access to the Syndicate promises any work, orders or income. A breach means the post is removed; a repeat breach ends access.

16.6 No reliance. Posts of members are their own views, not our advice or statements.

16.7 Moderation. We may review, edit, hide or remove any content — including a private message that is reported to us or that we have reason to believe breaks these Rules — and suspend or close any account, at our discretion. Access closed for a breach is not refunded.

17. Confidentiality and personal data

17.1 Information you send us through the Sites, their forms or the chat is not confidential, except that personal data is handled under our Privacy Policy. Within a paid engagement, we treat your non-public information as confidential and disclose it only to our staff and contractors who need it for the engagement and are bound by confidentiality, or where the law or a competent authority requires it. A signed confidentiality agreement prevails over this clause.

17.2 We process personal data as a controller under the personal data protection law of the United Arab Emirates, as described in our Privacy Policy and Cookie Notice. Where we process personal data in your systems or on your behalf as part of a Service, we do so on your instructions under the engagement.

18. Intellectual property

18.1 The Sites, their texts and design, our trade marks, GOLDJAXE OS, GOLDJAXE Terminal, the GOLDJAXE methodology, our protocols, tools, templates and methods, including the GOLDJAXE Method and the GOLDJAXE Standard, and our know-how belong to us or our licensors. Nothing in an engagement transfers them to you.

18.2 Deliverables. Unless a Quote or a signed agreement provides otherwise, on full payment we grant you a non-exclusive and non-transferable licence, worldwide and without time limit, to use the reports, documents, configurations, code and other results we produce for you ("Deliverables") for the internal purposes of your business. Ownership of custom code or of any other Deliverable passes to you only where a Quote or a signed agreement says so.

18.3 AI outputs. Outputs that AI tools within our Services generate for you are provided as they are; you check them before you rely on them. To the extent we hold rights in them, they are Deliverables under clause 18.2.

18.4 Your materials remain yours. You grant us a free, non-exclusive and worldwide licence to use, copy and adapt them for the purpose of performing the engagement, for as long as the engagement requires.

18.5 Feedback and posts. Ideas, suggestions and reviews you send us, and posts and other content you publish in GOLDJAXE Academy, GOLDJAXE Syndicate or elsewhere on the Sites, are licensed to us free of charge, irrevocably, worldwide and for the full term of their protection, to use, reproduce, translate, adapt, publish and make available to the public in any form, for the purposes of running, improving and promoting our Sites and Services, with the right to sub-license these rights to our affiliates and contractors for the same purposes. This clause does not apply to your materials under clause 18.4.

18.6 You do not copy, reproduce or republish the Sites or their content for commercial purposes without our written consent.

19. Liability and indemnity

19.1 All instructions and requests shall be given to us in writing. We may, at our discretion, act on a request given otherwise than in writing, but we are not liable for any error or omission that results from a request not being given in writing, in particular from an error of transmission, a misunderstanding or non-receipt.

19.2 The Sites, the chat and free services — clause 7.5 applies.

19.3 Paid Services. (a) We are not liable for indirect or consequential loss, loss of profit, revenue, business, data, savings, opportunity, goodwill or reputation, or for business interruption, however arising. (b) Our total liability for all claims together arising out of or in connection with an engagement is limited to the fees you paid us for the Service concerned for the twelve (12) months before the first event giving rise to a claim.

19.4 We are not responsible for the acts, decisions, outages or changes of third parties — providers of cloud, networks, software and AI models, platforms, app stores, banks and payment providers — or for any change of law.

19.5 Indemnity. You indemnify us and keep us indemnified against all claims, losses, fines, penalties, costs and expenses, including legal fees, which we suffer or incur by reason of: (a) your breach of these Terms or of the law; (b) data, content, materials or instructions you give us or enter into our Services, including any claim that they infringe the rights of others; (c) your use of the Deliverables or of AI outputs; or (d) information you give us that is inaccurate, incomplete, false or misleading. This indemnity does not apply to the extent a claim, loss or cost is caused by our breach of these Terms or our negligence.

19.6 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the law that applies, including liability for fraud, wilful misconduct or gross negligence.

19.7 Each limitation and exclusion in these Terms is separate. If any of them is held unenforceable, the others continue to apply, and that one applies to the fullest extent permitted.

20. Circumstances beyond our control

20.1 We are not in breach of these Terms if we are prevented from performing by a circumstance beyond our reasonable control, including an act of an authority, a change in law, a failure of cloud, networks, power or communications, an outage or change of a provider of software or AI models, a cyber-attack, a strike, a natural event or an epidemic. We tell you promptly, we do what can reasonably be done to continue, and if the circumstance lasts more than 30 calendar days, either of us may cancel the unperformed part, with money returned under the Refund and Cancellation Policy.

21. Complaints

21.1 Write to contact@goldjaxe.com from the address you used to contact us, stating your name, the Quote or invoice number and what you are not satisfied with.

21.2 We acknowledge your complaint within 2 business days and give our answer within 10 business days of the later of: the date we received the complaint, or the date we received the last document needed to answer it. Business days are working days in the United Arab Emirates (Monday to Friday).

21.3 Before starting proceedings against GOLDJAXE, you make a complaint under this clause with the details of your claim. You may start proceedings only if the complaint has not been resolved within 30 days of our receiving it.

22. Changes to these Terms

22.1 We may amend these Terms and our policies at any time. The amended edition applies from its publication on the Sites; for an engagement already paid, it applies from the next Quote or renewal. Prices change only under clause 10.13.

22.2 The current edition, with its number and date, is published on the Sites.

23. Governing law, courts and time limit for claims

23.1 These Terms, every engagement under them and any non-contractual obligation arising out of or in connection with them are governed by the laws of the Dubai International Financial Centre ("DIFC").

23.2 Except as stated in clause 23.4, any dispute, difference, controversy or claim arising out of or in connection with these Terms or any engagement under them, including any question regarding its existence, validity, interpretation, performance, discharge and applicable remedies, is subject to the exclusive jurisdiction of the Courts of the DIFC ("DIFC Courts"). By accepting these Terms, you agree in writing, clearly and expressly, to the jurisdiction of the DIFC Courts. You and we elect in writing that any claim the amount or value of which does not exceed AED 1,000,000 shall be heard by the Small Claims Tribunal of the DIFC Courts.

23.3 If the DIFC Courts decline jurisdiction over a dispute, the dispute is subject to the exclusive jurisdiction of the courts of the Emirate of Dubai.

23.4 GOLDJAXE may bring proceedings in any court of competent jurisdiction to recover amounts due to it, and may apply to any court of competent jurisdiction for interim or conservatory relief, including to protect its intellectual property and confidential information. You may apply for interim or conservatory relief only to the DIFC Courts.

23.5 To the extent the law that applies permits, the period of limitation for any claim against GOLDJAXE is reduced to one (1) year.

23.6 Nothing in this clause prevents a consumer from complaining to the competent consumer protection authority, or limits a right of a consumer that the law does not allow to be limited by agreement.

24. Language

24.1 These Terms are published in Arabic and English, and in Russian for convenience. In case of any discrepancy, the Arabic text prevails.

25. General

25.1 If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue to apply, and that provision applies to the fullest extent permitted.

25.2 We may assign or transfer our rights and obligations under these Terms and any engagement to an affiliate or to a successor of our business. You may not assign or transfer yours without our written consent.

25.3 A failure or delay by us in exercising a right is not a waiver of it.

25.4 Notices to you are sent to the e-mail address you use with us; notices to us are sent to contact@goldjaxe.com.

25.5 Entire agreement. Subject to clause 1.5, these Terms, with the Refund and Cancellation Policy and the How to Pay page, and the Quote, the invoice or the page on which you buy are the whole agreement between you and us about the Services. You do not rely on any statement, promise or representation that is not set out in them, including a reply of the chat assistant or a statement in our marketing, except a fraudulent one.

25.6 Our people. Our affiliates, staff and contractors, including operators of GOLDJAXE OS, may rely on clauses 19 and 23.5 as if they were parties to these Terms. No other person has any right under these Terms.

25.7 No formal notice of default is needed for an amount or compensation under these Terms to become due.
